These Terms of Use (“Terms”) are a binding agreement between you and Ella And Eli Baby Store FZE LLC, trading as E&E Babystore (“Company,” “we,” “us,” “our”), a company registered in the United Arab Emirates with its registered office at BLB-BC5-200, 6th Floor, Ajman Boulevard, AMC Building B, Al Hassan Al Basri St., Ajman, United Arab Emirates.

By accessing or using our website at eebabystore.odoo.com (the “Site”) or any related products and services (together, the “Services”), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the Services.

We may update these Terms from time to time. Where a change is material, we will give you reasonable notice before it takes effect, either by posting on the Site or by emailing you at the address on file. Continuing to use the Services after a change takes effect means you accept the updated Terms.

About us: Ella And Eli Baby Store is a UAE-based e-commerce platform, founded in November 2021, serving parents across all seven Emirates. Our tagline is Everything a Parent Needs. We curate premium baby and maternity essentials, spanning travel, feeding, diapering, nursery, toys, and bath and grooming, at fair prices and with fast, reliable delivery. Unlike brands that speak only to mothers, we’re built for the whole family, welcoming both mums and dads into a community of modern parents.

The Services are intended for users who are at least 18 years old. We recommend keeping a copy of these Terms for your records.

1. OUR SERVICES

Information made available through the Services is not intended for use in any jurisdiction where that use would breach local law or would subject us to a registration requirement we do not currently meet. If you choose to access the Services from outside the UAE, you do so on your own initiative and are responsible for complying with the laws that apply to you.

2. INTELLECTUAL PROPERTY RIGHTS

Our content. We own, or hold a valid licence to, all intellectual property in the Services, including the source code, databases, functionality, software, site design, photography, video, text, and graphics (the “Content”), together with our trademarks, logos, and brand names (the “Marks”). The Content and Marks are protected under UAE and international copyright, trademark, and unfair-competition law, and are made available for your personal, non-commercial use only, on an “as is” basis.

What you may do. Provided you comply with these Terms, including the Prohibited Activities list in Section 8, we grant you a limited, non-exclusive, non-transferable, revocable licence to access the Services and to download or print any portion of the Content you have properly accessed, solely for personal, non-commercial use.

Outside of that licence, no part of the Services, Content, or Marks may be copied, republished, uploaded, distributed, sold, or otherwise exploited for a commercial purpose without our prior written consent. If you would like permission to use our Content or Marks beyond what’s set out here, email us at eebabystoreae@gmail.com. Any breach of this section is a material breach of these Terms and will end your right to use the Services immediately.

What you send us. If you send us questions, comments, ideas, or feedback about the Services (“Submissions”), you assign to us all intellectual property rights in that Submission, and we may use it for any lawful purpose without owing you compensation or credit. By sending a Submission, you confirm it doesn’t breach anyone else’s rights, isn’t illegal, hateful, obscene, or misleading, and that you’re not disclosing anything confidential. You agree to cover any losses we incur as a result of a breach of this section.

3. USER REPRESENTATIONS

By using the Services, you confirm that any registration information you provide is true, accurate, and current, and that you will keep it up to date; you have the legal capacity to agree to these Terms and are not a minor in your jurisdiction; you will not access the Services through bots, scripts, or other automated means; and your use of the Services will comply with all applicable laws. If any information you provide turns out to be false or incomplete, we may suspend or terminate your account and refuse further use of the Services.

4. USER REGISTRATION

You may need to register an account to use certain parts of the Services. You’re responsible for keeping your password confidential and for all activity under your account. We may remove or change a username at our discretion if we consider it inappropriate or objectionable.

5. PRODUCTS

We do our best to accurately show the colours, features, and specifications of the products on our Site, but we can’t guarantee that every listing is complete, current, or error-free, and your screen may not display colours exactly as they appear in person. All products are subject to availability and may be discontinued at any time. Prices are subject to change without notice.

6. PURCHASES AND PAYMENT

We accept payment by Visa, Mastercard, PayPal, PayTabs, cash on delivery, Apple Pay, and Google Pay. All prices are in UAE Dirhams (AED).

You agree to provide accurate, current billing and account details, and to keep them updated so we can process your order and reach you if needed. Applicable taxes and delivery charges will be added at checkout where relevant, and we may adjust prices at any time. By placing an order, you authorise us to charge your chosen payment method for the total amount due.

We reserve the right to decline any order, and to limit or cancel quantities per customer, household, order, payment method, or delivery address, including where we reasonably suspect an order has been placed by a reseller or distributor rather than an individual customer. If we discover a pricing or listing error, we may correct it even after an order has been placed or paid for, and we’ll contact you before proceeding.

8. PROHIBITED ACTIVITIES

You may only use the Services for their intended purpose. In using the Services, you agree not to:

Systematically scrape or harvest data, listings, or content from the Site to build a competing database, directory, or collection.
Attempt to deceive us or other users, including phishing for account credentials or payment details.
Disable, bypass, or interfere with any security feature of the Services.
Use a buying agent or automated purchasing tool to place orders on your behalf.
Impersonate another person, misrepresent your affiliation with us, or create accounts under false pretences.
Harass, threaten, or defraud our staff, agents, or other users.
Upload viruses, malware, or any code intended to disrupt or damage the Services.
Reverse-engineer, decompile, or attempt to extract the source code of our software, except where the law expressly allows it.
Use the Services for unsolicited marketing, spam, chain letters, or mass messaging.
Collect or harvest personal data (including usernames or email addresses) belonging to other users.
Use the Site, or its Content, to build or support a competing commercial product or service.
Interfere with the proper functioning of the Services or place an unreasonable load on our systems.
Use a fraudulent or unauthorised payment method, or attempt to use one.

Breaching this section is a breach of these Terms and may lead to suspension or termination of your access to the Services, and where appropriate, legal action.

9. USER-GENERATED CONTRIBUTIONS

The Services do not currently offer a public feature for submitting content such as posts, comments, or media (aside from product reviews, covered in Section 11). Where we do enable this in the future, or where you send us content directly (“Contributions”), you confirm that:

The Contribution doesn’t infringe anyone’s copyright, trademark, or other proprietary rights.
You either created it yourself, or you hold the necessary rights and permissions to share it with us.
Where the Contribution includes another identifiable person, you have their consent to include them.
It isn’t false, misleading, defamatory, obscene, discriminatory, or otherwise unlawful.
It doesn’t include unsolicited advertising, spam, or content aimed at minors in a way that violates child-protection law.

10. CONTRIBUTION LICENCE

By sending us feedback or suggestions about the Services, you agree we may use and share that feedback for any purpose without owing you compensation. We don’t claim ownership of Contributions you send us; you keep full ownership and are solely responsible for their content.

11. GUIDELINES FOR REVIEWS

If you leave a product or service review, it must reflect your genuine, firsthand experience. Reviews may not contain profanity or abusive, racist, or hateful language; discriminatory references to religion, race, gender, national origin, age, marital status, sexual orientation, or disability; references to illegal activity; false or misleading claims; or a coordinated campaign encouraging others to post reviews for or against us. Reviews should not come from anyone affiliated with a competitor.

We may accept, edit, or remove any review at our discretion, and we’re not obligated to screen reviews before they appear. Reviews reflect the views of the reviewer, not ours. By posting a review, you grant us a perpetual, worldwide, royalty-free licence to reproduce, adapt, and display it in connection with our marketing and the Services.

12. THIRD-PARTY WEBSITES AND CONTENT

The Services may link to third-party websites or include third-party content (articles, images, software, and similar material) that we don’t control. We don’t monitor, endorse, or take responsibility for third-party sites or content, and if you choose to visit them, you do so at your own risk under their own terms and privacy practices. Any purchase you make through a third-party site is a matter between you and that third party; we accept no liability for it.

13. SERVICES MANAGEMENT

We may, but are not obliged to: monitor the Services for misuse; take legal action against anyone who breaches these Terms or the law; restrict, remove, or disable content at our discretion; remove content that places excessive strain on our systems; and otherwise manage the Services to protect our rights and keep them running properly.

14. PRIVACY POLICY

We take data privacy seriously. Please review our Privacy Policy at eebabystore.odoo.com/privacy-policy, which is incorporated into these Terms by reference.

The Services are hosted in the United Arab Emirates. If you access the Services from outside the UAE, you consent to your data being transferred to, and processed in, the UAE.

15. TERM AND TERMINATION

These Terms remain in effect for as long as you use the Services. We may deny access to, suspend, or terminate your account at any time and without notice, including for breach of these Terms or applicable law, or for any other reason at our discretion. If your account is terminated, you may not open a new one under your own name, a false name, or on behalf of a third party. We reserve the right to pursue further legal action where appropriate.

16. MODIFICATIONS AND INTERRUPTIONS

We may change, update, or remove any part of the Services at any time, without notice and without any obligation to keep information current. We can’t guarantee the Services will always be available; maintenance, technical issues, or other factors may cause downtime or errors, and we won’t be liable for any inconvenience or loss this causes.

17. GOVERNING LAW

These Terms are governed by the laws of the United Arab Emirates. Both you and Ella And Eli Baby Store FZE LLC irrevocably agree that the UAE courts have exclusive jurisdiction over any dispute arising from these Terms.

18. DISPUTE RESOLUTION

You agree to submit any dispute arising from these Terms, or from your use of the Services, to the jurisdiction of the UAE courts. We also reserve the right to bring proceedings in the courts where you reside, or, if you’re acting in a business capacity, where your principal place of business is located.

19. CORRECTIONS

The Services may occasionally contain typographical errors or inaccurate information, including around pricing, availability, or product descriptions. We reserve the right to correct these and to update information on the Site at any time without prior notice.

20. DISCLAIMER

The Services are provided on an “as is” and “as available” basis, and your use of them is at your own risk. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee that the Services will be error-free, uninterrupted, or free of viruses, and we accept no responsibility for losses arising from unauthorised access to our servers, interruptions in service, or errors in Content. We don’t endorse or guarantee any third-party product or service advertised through the Services; use your own judgement when engaging with third parties.

21. LIMITATION OF LIABILITY

To the fullest extent permitted by law, neither we nor our directors, employees, or agents will be liable to you for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of the Services, even if we’ve been advised such damages were possible.

22. INDEMNIFICATION

You agree to defend, indemnify, and hold us, our affiliates, and our officers, employees, and agents harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from: your use of the Services; your breach of these Terms or of any representation or warranty in them; your violation of a third party’s rights; or any harmful act you direct at another user of the Services. We’ll aim to notify you promptly of any claim covered by this section, and we reserve the right to take over the defence of such a claim at your expense.

23. USER DATA

We maintain certain data connected to your use of the Services for operational purposes and perform regular backups. You remain responsible for any data you transmit through the Services, and we accept no liability for loss or corruption of that data.

24. ELECTRONIC COMMUNICATIONS, TRANSACTIONS AND SIGNATURES

Visiting the Site, emailing us, or completing an online form all count as electronic communication. You consent to receive communications from us electronically and agree that electronic agreements, notices, and records satisfy any legal requirement that such communications be in writing, including electronic signatures on orders and transactions completed through the Services.

25. MISCELLANEOUS

These Terms, together with any policies we post in connection with the Services, form the entire agreement between you and us. If we don’t enforce a provision, that isn’t a waiver of our right to do so later. If any part of these Terms is found unenforceable, the rest remains in effect. Nothing here creates a partnership, joint venture, employment, or agency relationship between you and us. We may assign our rights and obligations under these Terms at any time.

26. ELLA AND ELI BABY STORE COMPETITIONS

By entering any Ella And Eli Baby Store competition, whether run through the Services, our social media channels, or any other medium (a “Competition”), you agree to the following rules, alongside any additional rules published for that specific Competition:

Our decisions on the outcome of a Competition, and on any prize winner, are final.
Entry is limited to one per person per Competition. Late, incomplete, or fraudulent entries, or entries submitted through third parties, will not be accepted, and we’re not responsible for entries that don’t reach us.
Our employees, our affiliates’ employees, any sponsor’s employees, and their immediate families are not eligible to enter.
Prizes are subject to availability, are non-transferable, and have no cash alternative. Any change to a prize requires our prior written approval.
Unless a Competition states otherwise, prizes must be claimed within one month of the draw date.
Winners must generally be 18 or older, or accompanied by an adult where a Competition allows younger entrants.
Winners are chosen from entries received by the stated closing date. By entering, you release us from liability for personal injury, loss, or damage connected to the Competition or the use of a prize, and you agree to sign any further documentation we reasonably require to confirm that release.
We accept no liability in connection with a Competition or the use of its prizes.
Winners are responsible for any taxes, insurance, or additional expenses connected to their prize that we haven’t explicitly included, including travel and accommodation costs where relevant, and must hold any necessary travel documents.
By entering, you authorise us to use your name, city, and country of residence, and (where applicable) your image, to announce results across our channels, including our Site, social media, and newsletters. You assign to us any rights in creative material you upload as part of your entry.
If circumstances beyond our control prevent a Competition draw or prize fulfilment, we won’t be held liable.
We may substitute a prize with one of comparable value, and may disqualify any entrant who breaches these Competition rules, at our discretion.
